Who Qualifies As An Accredited Investor?

Rules 505 and 506 of Regulation D provides an exemption for companies to sell securities to accredited investors. Therefore, if you are offering equity interests in a company that is not publicly listed with a stock market or registered with the SEC you are limited to working with accredited investors.
