GPB CAPITAL HOLDINGS, FORMER PARTNER ALLEGES PONZI SCHEME

The Frankowski Firm is investigating claims related to the GPB Capital Holdings family of investment funds. Last month, GPB Capital reported “significant losses” in its funds with its two largest funds seeing declines of 25.4% and 39%. Investment News reported in March that GPB Capital Holdings is under investigation by the FBI, the SEC, and the Financial Industry Regulatory Authority (“FINRA”). The firm has reportedly raised over $1.8 billion from wealthy investors through private placement funds, which invest in auto dealerships and the waste management industry. The firm reportedly paid over $100 million in commission incentives to over sixty brokers to sell GPB’s Regulation D offerings to their clients. In a lawsuit pending in Nassau County, New York, former GPB partner Patrick Dibre filed a counterclaim in which he alleges that GPB was operating a “very complicated and manipulative Ponzi scheme.” SEC investigators have reportedly been reviewing the accuracy of GPB’s disclosures to investors, fund performance, and investor distributions. WEDBUSH HIT WITH $8.1 MILLION FINE BY SEC | THE FRANKOWSKI FIRM

Wedbush Securities Inc. will pay $8.1 million to settle SEC charges that it mishandled “pre-released” American Depository Receipts (ADRs), according to an SEC press release. ADRs are U.S. securities that represent shares of a foreign company and require a corresponding number of foreign shares to be held in custody at a depositary bank. Pre-release allows ADRs to be issued without the deposit of foreign shares, if the brokers receiving them have an agreement with a depositary bank and the broker or customer owns the number of foreign shares corresponding to the number of shares the ADRs represent. In this case, the SEC found that Wedbush improperly obtained pre-released ADRs when it should have known that neither it nor its customers owned the foreign shares corresponding to the ADRs. This practice inflated the number of a foreign issuer’s tradeable securities which resulted in abusive practices such as inappropriate short selling and dividend arbitrage. The SEC charged Wedbush with violating Section 17(a)(3) of the Securities Act of 1933 and supervisory failures. Wedbush neither admitted nor denied the SEC’s findings but agreed to a censure, disgorgement payments of over $4.8 million, $800,000 in prejudgment interest, and more than $2.4 million in penalty. Five Roadway Hazards That Can Contribute to a Car Accident

Car accidents — in Alabama and elsewhere — can be caused by a variety of factors, from negligent drivers to roadway defects. If you’ve been seriously injured in a car accident, then securing maximum compensation for the losses you suffered will require that you comprehensively evaluate the various avenues for recovery. In many car accident disputes, the individual or entity who controls the roadway (and adjacent property) may be significantly responsible for the harm caused. As you explore the prospect ofcar accident litigation, let’s take a brief look at five common roadway hazards that can contribute to the occurrence of a car accident. Consider the following. Poor Visibility Poor visibility is among the most significant factors contributing to car accidents. There are a range of situations that can create poor visibility conditions: inadequate street lighting, objects that block the field-of-view of drivers (and have not been cleared by the defendant), or even sharp distinctions on the vertical or horizontal plane that interfere with the ability of drivers to spot incoming traffic. Physical Hazards Physical road hazards, such as construction barriers that have been misplaced, or large potholes, can create a significant risk of harm for drivers on the roadway. If a driver suddenly tracks their tires across a pothole, that tire-road contact can cause damage to one’s drivetrain and suspension systems and may even penetrate the tires. In extreme scenarios, a pothole can cause the driver to lose control over their vehicle. Inadequate or Broken Signage Some roadways require signage to ensure that drivers are notified as to the inherent risks and hazards and can alter their behavior accordingly. If necessary signage is broken, misplaced, or simply not visible, then this can contribute to an accident. For example, a sign indicating that there is a pedestrian crossing ahead is extremely important for notifying incoming traffic to slow down — if the sign is covered by the hanging branch of a tree, this could lead to a serious pedestrian accident. Traffic Control Issues Traffic control issues are unfortunately common and are often the result of poor roadway design. For example, if a roadway is dominated by unprotected, fast-moving traffic that create an unreasonable risk of harm for drivers and pedestrians, then one could argue that there should be traffic and speed control mechanisms to slow down traffic to an appropriate level for the roadway. Perhaps the municipality could install traffic lights or even speed bumps to better control traffic. Evidence of Prior Accidents Evidence of prior accidents may reveal hazards that are not immediately obvious to those using the roadway. For example, an unprotected left-turn into a school may not seem like a serious hazard for drivers upon first impression, but if there have been three serious accidents involving that left-turn over just a few years, then that may be sufficient to prove that the turn exposes drivers to an unreasonable risk of harm (and that the hazard should be corrected).
